By visiting our site downloading and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions. These terms apply to all users of the site, including without limitation users who are browsers, customers/clients.

1. TERMS OF USAGE

Please read these Terms & Conditions carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms & Conditions. Any new features or tools which are added to the current website will also be subject of the Terms & Conditions. By agreeing to these Terms & Conditions, you represent that you are at least the age of majority (18 years), or the legal guardian/parent have given us consent to allow any of the minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose and you are not to violate any statutory and/or common laws applicable (including but not limited to proprietary laws).

2. GENERAL

We reserve the right to refuse service to anyone for any reason at any time. Prices for our study material, online training, tools, assessments and other products and services are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

3. OBLIGATIONS

You shall co-operate with GLOBAL PUPILS in all matters relating to any of the Services; You shall provide GLOBAL PUPILS with such information and materials as may be reasonably required in order to supply the service and ensure that such information is accurate in all material respects; You shall also comply with the payment terms of each material invoice.

4. FEES & PAYMENT

An assessment tool for interpersonal skills would be at free of cost subject to changes. A fee will be incurred on the completion of the Assessment for the “paid report” after such assessment. The fee wold be set out and confirmed beforehand in the confirmation correspondence enabling payment gateway. For the online training, counselling programs and other programs offered by GLOBAL PUPILS, you would be charged upon selection of a Service you will incur a Fee. The amount and type of Fees applicable to a Service will be confirmed to you in the Confirmation Correspondence enabling payment gateway. You shall pay all amounts due as per each material invoice in full and through direct bank transfer. To the extent that any terms within this Clause conflict with those in any subsequent Confirmation Correspondence the terms contained within the latest Confirmation Correspondence shall take precedence.

5. REFUND POLICY

We follow a strict “NO REFUND” policy. If you wish to discontinue any of the services offered by GLOBAL PUPILS that you enrolled for, no refund will be made. If you have opted for the “paid report” assessment of your interpersonal skills test or any of the online raining programs, counselling programs and other programs, once the amount has been paid, no refund would be provided. If GLOBAL PUPILS decides to discontinue any program and/or service that you have enrolled for, we will refund the course fee that you enrolled for. Refunds in such instances will be processed within 14 working days of us notifying you and amount will be transferred to your account within 7 working days of receiving bank account details from you.

6. INTELLECTUAL PROPERTY RIGHTS

All Intellectual Property Rights including Trademarks, Copyrights, Patents and/lor any other proprietary rights in or arising out of or in connection with the Service provided shall be owned by GLOBAL PUPILS. All materials supplied in accordance with the Service are the exclusive property of GLOBAL PUPILS. The Website and its content and all materials received by any customer are protected by copyright, database rights, trademarks and other intellectual property rights. No right to use or license of any such intellectual property rights is granted to you except as explicitly set out in these Terms & Conditions. You may read, print and download copies of the material and information on the Website and store it on a single computer for your personal, private use, but you must not reproduce any or all copyright and other materials. You may not make any profit from the use of that material or information, and you may not make any other copies, or adapt, create any work derived from, republish, make available to the public, disseminate, or transmit any of it, or exploit any of it for any commercial purpose, without first obtaining our written permission.

7. CONFIDENTIALITY

Each party shall keep confidential these terms and conditions and all confidential information that it may acquire in relation to the product or service. Neither party shall use the other party’s confidential information for any purpose other than to perform its obligations under these Terms and Conditions. The obligations on a party, in this clause shall not apply to any information which is publicly available or becomes publicly available through no act or omission of that party. The provisions of this clause shall survive any termination of these Terms and Conditions

8. DATA PROTECTION

GLOBAL PUPILS and the Client shall comply with their respective obligations under the Data Protection Laws at all times. GLOBAL PUPILS shall ensure each of their Counsellors, representatives, and employees shall also comply with their respective obligations under Data Protection Laws at all times. By agreeing to these terms and conditions, you consent to our use of your personal data for the purpose of providing the Service which may include (without limitation), use of such data for billing, for providing reports on the client’s skills, enhancing such skills and also enable us to make contact from time to time.

9. PROHIBITED USES

In addition to other prohibitions as set forth in the Terms & Conditions, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any ( National/Local) regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

10. LIABILITY

If you have a complaint against the Counsellor, employees or against us, you must inform us of that complaint within 24 hours of the occurrence that gave rise to it by sending an email to ______hello@globalpupils.in______. Any opinion expressed by the Counsellor is not an expression of the opinions of GLOBAL PUPILS. Neither GLOBAL PUPILS nor any of its staff shall be liable to you for any loss, injury, damage, expense or delay incurred or suffered by you arising directly or indirectly from or in any way connected with the introduction or supply of a counsellor to you or with any failure by GLOBAL PUPILS to introduce or supply a counsellor and, in particular, but without limitation to the foregoing, a) any such loss, injury, damage, expense or delay arising from or in any way connected with failure of the counsellor to meet your requirements for all or any of the purposes for which he or she is required by you; and b) any act or omission of a counsellor, whether wilful, negligent, fraudulent, dishonest, reckless or otherwise;

11. PRIVATE ARRANGEMENTS WITH COUNSELLORS

You are not permitted to make private and/or independent arrangements for counselling with counsellors introduced or supplied by us to you. By confirming counselling, you undertake not to make any such arrangements with any counsellor registered with us either during the term of this Agreement or for up to 3 months following its termination.

12. CANCELLATION, REPLACEMENT & TERMINATION OF SERVICES

Cancelling a Service - Should you wish to cancel your Service, you will not be entitled to a refund and you will be required to give 30 days’ notice in writing and send a confirmation email to _____hello@globalpupils.in_______. Replacement of counsellors - in the event that your usual counsellor is unavailable, GLOBAL PUPILS may provide an alternative counsellor. If this happens, GLOBAL PUPILS will intimate you in advance, either through call or in writing, and you will have the option to accept this substitution. Termination - either party may give notice in writing to the other terminating these terms & conditions with immediate effect, in case the other party commits any material breach of any of the terms of the terms & conditions and that breach is not remedied within 7 Working Days after notice has been given requiring it to be remedied;

13. FORCE MAJEURE

Neither party shall have any liability under or be deemed to be in breach of these terms and conditions, which result from circumstances beyond the reasonable control of that party. The party affected by such circumstances shall promptly notify the other party in writing when such circumstances cause a delay or failure in performance and when they cease to do so.

14. WAIVER

No failure or delay by GLOBAL PUPILS in exercising any right, power or privilege under these Terms and Conditions shall impair the same or operate as a waiver of the same nor shall any single or partial exercise of any right, power or privilege preclude any further exercise of the same or the exercise of any other right, power or privilege. The rights and remedies provided in these Conditions are cumulative and not exclusive of any rights and remedies provided by law.

15. GOVERNING LAW

These terms and conditions shall be governed by and construed in accordance with the laws of India and the parties submit to the exclusive jurisdiction to the courts in Chennai.

16. COMMUNICATION
